Terms of Service

Welcome to Solder Spark Studios. These Terms of Service (“Terms”) govern your access to and use of the website at solderspark.com, the games we publish, our Spark Studio subscription service, and any related services we provide (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. About Us

Solder Spark Studios Inc. (“Solder Spark Studios,” “we,” “us,” or “our”) is a California corporation and an independent game studio based in California, United States. We design and publish games for browsers and PC platforms, we operate the websites and online services that support them, and we provide Spark Studio, our subscription software service for game studios.

2. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of legal majority in your jurisdiction, you may only use the Service with the involvement of a parent or legal guardian. If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. The Service

The Service includes the websites we operate, the games we make available through those websites or third-party platforms (such as Steam and CrazyGames), promotional materials, newsletters, and any related software, content, or features. We may add, change, or remove parts of the Service at any time without notice.

4. Your Account

Some parts of the Service may require an account, either with us directly or through a third-party platform we publish on. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access.

5. Acceptable Use

When using the Service, you agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Reverse-engineer, decompile, or otherwise attempt to derive the source code of any software we provide, except as expressly permitted by law;
  • Cheat, exploit, or use automated tools to gain unfair advantage in any of our games, including the use of bots, modified clients, or third-party software that interferes with normal gameplay;
  • Interfere with the operation of the Service, including by attempting to overload, disrupt, or gain unauthorized access to our servers or infrastructure;
  • Harass, threaten, or harm other players or our team;
  • Misrepresent your identity or affiliation with any person or organization;
  • Use the Service to distribute spam, malware, or any other harmful content.

6. Our Intellectual Property

The Service, including our games, source code, artwork, music, sound effects, characters, names, logos, and branding, is owned by Solder Spark Studios or our licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited rights granted to you under these Terms, no rights are transferred to you.

You are granted a personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own non-commercial enjoyment, subject to these Terms.

7. Your Content

If you submit feedback, suggestions, or other content to us (for example, through our support email, comments, or community channels), you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and incorporate that content into the Service or our business, without compensation to you. You represent that you have the right to grant this license.

8. Third-Party Platforms and Services

Our games and websites may be distributed through or integrated with third-party platforms, including but not limited to Steam (Valve Corporation), CrazyGames, and others. Your use of those platforms is governed by their own terms of service and privacy policies, which we do not control. We are not responsible for the practices of any third-party platform.

9. Purchases and Refunds

If you purchase any of our games or content, the purchase is processed by the third-party platform you bought it through. Refund policies are governed by that platform’s terms. We do not directly process payments or issue refunds for purchases made through third-party platforms. Paid subscriptions to Spark Studio are handled separately and are governed by the Spark Studio section below.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOLDER SPARK STUDIOS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless Solder Spark Studios, its team, and its contractors from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

13. Termination

We may suspend or terminate your access to the Service at any time, for any reason or no reason, including if we believe you have violated these Terms. You may stop using the Service at any time. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. Subject to the arbitration agreement below, any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in California, and you consent to the exclusive jurisdiction of those courts.

Binding Individual Arbitration. Except for the disputes described under “Exceptions” below, you and Solder Spark Studios Inc. agree to resolve any dispute arising out of or relating to these Terms or the Service through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court. The arbitration will take place in California or, at your election, your county of residence, and judgment on the award may be entered in any court of competent jurisdiction.

Class-Action Waiver. You and Solder Spark Studios Inc. agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of class or representative proceeding.

Exceptions. This arbitration agreement does not apply to: (a) any claim that may be brought in small-claims court; or (b) any claim to enforce or protect intellectual property rights, for which either party may seek injunctive or other equitable relief in court.

30-Day Right to Opt Out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice of your decision, with your name and account email, to the contact address on our Contact page. If you opt out, the governing-law and courts provisions above will apply to disputes between us.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the Effective Date at the top of this page. If the changes are material, we may also notify you through a notice on the Service or by other reasonable means. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

17. Spark Studio (Subscription Service)

This Section 17 applies specifically to Spark Studio, our subscription software service for game studios (including the dashboard, the AI assistants, and the per-workspace content vault). It supplements the rest of these Terms. Where this Section conflicts with another provision in connection with your use of Spark Studio, this Section controls.

17.1 Accounts and Workspaces

Access to Spark Studio requires a Spark account. Work in Spark Studio is organized into “workspaces.” The person who creates a workspace is its owner and may invite other members and assign them roles. You are responsible for activity in your workspace, for the members you invite, and for ensuring their use complies with these Terms. If you create or use a workspace on behalf of an organization, you represent that you have authority to bind that organization to these Terms. Spark Studio is a tool for game studios and is not intended for anyone under 18.

17.2 Subscriptions, Billing, and Renewal

Spark Studio includes a 14-day free trial. After the trial, the paid subscription for the plan you select begins, billed through our third-party payment processor on a recurring basis. By starting a paid subscription, or by continuing past the free trial, you authorize us and our payment processor to charge your payment method the then-current fees for your plan, plus any applicable taxes, automatically at the start of each billing period until you cancel. You may cancel at any time; cancellation takes effect at the end of your current billing period, and you keep access until then. We may change plan prices or features on prospective notice, with changes applying at your next renewal.

17.3 Refunds

Except where required by law, subscription fees are non-refundable, and cancelling stops future charges rather than refunding the current billing period. You must cancel before your 14-day free trial ends to avoid being charged.

17.4 Your Content and Your Vault

Spark Studio stores the documents, notes, project data, and other materials you create or upload in a per-workspace “vault” (“Your Content”). As between you and Solder Spark Studios, you own Your Content. We claim no ownership of it. You grant us only the limited, non-exclusive license needed to host, store, back up, display, and process Your Content for the purpose of operating and providing Spark Studio to you, including running the AI features you choose to use. You are responsible for Your Content, for having the rights to it, and for ensuring it does not violate these Terms or any law. This Section 17.4 governs Your Content in Spark Studio in place of Section 7; Section 7 continues to apply to feedback and suggestions you send us about the Service.

17.5 AI Features and Automated Processing

Spark Studio includes AI assistants that process Your Content to produce suggestions, drafts, and other outputs at your direction. To do this, relevant portions of Your Content and your prompts are processed automatically through our AI gateway, first by models we run on our own infrastructure and, when additional capacity is needed, by a third-party AI provider. That provider retains inputs only briefly for abuse and safety monitoring and does not use them to train its models, and we do not use Your Content to train our own models. AI outputs are generated by automated systems, can be inaccurate or incomplete, and are not professional advice; you are responsible for reviewing outputs before relying on them. The providers involved are listed in our Privacy Policy.

17.6 Acceptable Use of the AI

When using Spark Studio’s AI features, you agree not to: (a) generate or attempt to generate content that is unlawful, infringing, harmful, or that violates a third party’s rights; (b) attempt to access, infer, or extract another customer’s content or workspace; (c) use the features to develop a competing model or service, or to circumvent usage limits; (d) submit content you do not have the right to submit; or (e) use the AI in any way that violates the acceptable-use or usage policies of the underlying model providers. Use may be subject to per-plan limits, and we may suspend AI features or your access for violations.

17.7 Availability, Suspension, and Termination

We may modify or discontinue features of Spark Studio. If a payment fails or a subscription lapses, we may limit or suspend access (for example, to read-only or export-only) before terminating. On termination or cancellation, you may export Your Content for 30 days, after which we delete it as described in our Privacy Policy.

17.8 Data Processing

For Spark Studio, we process the personal data contained in Your Content on your behalf and under your instructions. Our Data Processing Agreement, available at solderspark.com/dpa, governs that processing and is incorporated into these Terms for Spark Studio customers.
